1. Acceptance of these terms
By visiting, registering with, accessing or using
Vendnovo, you agree to these Terms and
Conditions and our Privacy Policy.
If you use Vendnovo on behalf of a business,
you confirm that you have authority to accept these
terms on behalf of that business.
If you do not agree to these terms, you must not use
the platform.
2. Eligibility
You must be at least 18 years old and have the legal
capacity to enter a binding agreement to open and
operate a merchant account.
You must not create an account using false
information or attempt to avoid an eligibility,
identity-verification, compliance or account
restriction.
Additional eligibility requirements imposed by
payment gateways, financial institutions or local
law may also apply.
3. Role of Vendnovo
Vendnovo provides technology that allows
merchants to create storefronts, list products,
generate payment links and forms, receive payment
notifications and manage transactions.
Unless expressly stated otherwise,
Vendnovo is not the seller, manufacturer,
supplier or fulfiller of products displayed in an
independent merchant’s store.
The merchant is responsible for its products,
descriptions, pricing, stock, fulfilment, delivery,
customer support, returns and legal compliance.
A customer purchasing from a merchant enters into a
transaction with that merchant. Vendnovo
provides platform and payment-supporting technology
but does not guarantee every merchant or product.
4. Accounts and security
You must provide accurate and current information
when creating or updating an account.
You are responsible for:
- Keeping your password and credentials secure.

Restricting unauthorised access to your account.

Activity performed through your account unless
caused directly by a platform security failure.

Notifying us promptly about suspected
unauthorised activity.
We may request identity, business, payment or
compliance information before enabling or
continuing access to particular services.
5. Merchant obligations
A merchant must:

Provide accurate business and contact
information.

List only products or services the merchant is
legally permitted to sell.

Keep prices, descriptions, stock and delivery
information accurate.

Honour valid purchases and customer-protection
obligations.

Respond reasonably to complaints, returns,
refunds and disputes.

Protect store-customer information from
unauthorised use or disclosure.

Maintain valid payment-gateway credentials and
receiving-account details.

Comply with tax, licensing, advertising,
consumer-protection and data-protection
requirements.
A merchant must not use customer details obtained
through Vendnovo for unrelated or unlawful
marketing.
6. Store customers and payers
Store-customer accounts are specific to the
relevant merchant store. A Vendnovo merchant
account does not automatically create or provide
access to a customer account in another merchant’s
store.
Customers may be permitted to register with a
merchant’s store, maintain a cart, create a
wishlist, rate eligible products and view order
history.
Guest checkout may be available where the merchant
and transaction type allow it. Guests must provide
accurate payer and delivery information.
7. Acceptable use
You must not use Vendnovo to:
- Commit fraud, deception or identity theft.

Sell illegal, stolen, counterfeit or prohibited
products.

Process payments for unlawful or undisclosed
activities.

Circumvent gateway, compliance, geographic,
account or transaction restrictions.

Misrepresent transaction amounts, currencies,
customers or products.

Introduce malware or interfere with platform
security.
-
Scrape, overload, probe or attempt unauthorised
access to the platform.
-
Infringe intellectual-property, privacy or
consumer rights.
-
Send spam or abusive communications.
We may investigate suspected misuse and cooperate
with payment providers, affected users and lawful
authorities.
8. Payment processing
Payments may be processed by third-party providers,
including Stripe, PayPal, Paystack and Flutterwave.
Availability depends on the merchant, transaction
currency, country, payment-provider account and
applicable rules.
Payment-provider terms and privacy policies also
apply when you use their services. A gateway may
decline, delay, reverse or review a transaction
according to its own requirements.
A payment is not treated as successfully completed
merely because checkout was initiated. The payment
must be verified through the relevant provider or
confirmation process.
Vendnovo may use payment references,
signatures, webhooks and provider verification to
confirm a transaction and prevent duplicate
finalisation.
9. Cryptocurrency payments
Cryptocurrency transactions may involve blockchain
networks, wallet addresses, network fees,
confirmation requirements and exchange-rate
conversion.
Customers must send the correct asset, amount and
network to the displayed wallet address within the
applicable payment period.
Sending an unsupported asset or using an incorrect
blockchain network may result in permanent loss
that Vendnovo or the merchant may be unable
to reverse.
Cryptocurrency values and network conditions may
change rapidly. A displayed quote may expire and
require recalculation before payment.
Vendnovo does not provide investment,
financial or trading advice.
10. Bank transfers
When bank transfer is enabled, the checkout may
display the merchant’s receiving-account details.
Displaying those details does not automatically
confirm payment.
A bank-transfer order may remain pending until the
transfer is verified. Customers must use the
correct account details and payment reference.
Merchants are responsible for ensuring their saved
bank information is accurate and authorised for
receiving payments.
11. Escrow services
Escrow protection applies only when a transaction
is expressly identified as an escrow transaction.
A normal direct payment must not be assumed to have
escrow protection.
Additional escrow instructions may govern release
conditions, delivery confirmation, dispute
evidence, refunds and processing periods.
Users must provide accurate evidence during an
escrow dispute and must not misuse the process to
delay or avoid a valid obligation.
12. Plans and subscriptions
Merchant features may be limited by the selected
subscription plan. Plan details may include price,
billing period, transaction limits and access to
specific tools.
A paid subscription or upgrade becomes active only
after payment is successfully verified.
Unless otherwise stated, recurring subscriptions
may continue until cancelled. Cancellation normally
prevents future renewal and does not automatically
refund a period already used.
If a paid subscription expires or is cancelled,
the account may be returned to an available free
plan with reduced features or limits.
13. Store orders, delivery and returns
The merchant is responsible for confirming stock,
fulfilling orders, arranging delivery and providing
accurate order information.
Customers should review the relevant merchant’s
return policy and contact the merchant first about
products, delivery, exchanges or refunds.
Nothing in these terms removes consumer rights that
cannot lawfully be excluded.
14. Refunds, reversals and chargebacks
Refund eligibility depends on the transaction,
merchant policy, payment-provider rules and
applicable law.
Merchants are responsible for responding to valid
disputes and providing requested transaction or
fulfilment evidence.
We may restrict an account where refund abuse,
excessive chargebacks, fraud or unresolved
transaction risk is identified.
15. APIs, webhooks and integrations
Merchants may receive transaction events through
webhooks or integrations. Merchants are responsible
for securing endpoint credentials and validating
events before relying on them.
Webhooks may be delayed, duplicated or retried. An
integration should use payment references and
idempotent processing to prevent duplicate actions.
We may apply reasonable rate, security or usage
limits to integrations.
16. Merchant and user content
Merchants retain ownership of product information,
logos, photographs, banners and other content they
submit, subject to third-party rights.
By submitting content, you grant
Vendnovo a limited, non-exclusive
licence to host, reproduce, resize, display and
transmit that content as necessary to operate and
promote your store and provide the platform.
You confirm that you have the rights and
permissions required to upload and use submitted
content.
17. Vendnovo intellectual property
The Vendnovo platform, branding, software,
interface, documentation and original platform
content are owned by or licensed to
Vendnovo.
These terms do not grant permission to copy,
reverse-engineer, resell, reproduce or create
derivative services from the platform except where
expressly authorised or legally permitted.
18. Suspension and termination
We may restrict, suspend or terminate access where
reasonably necessary to:
- Protect users, merchants or the platform.
- Investigate suspected fraud or unlawful use.
- Comply with law or provider requirements.
- Address unpaid fees or excessive transaction risk.
- Prevent security threats or platform abuse.
- Enforce these Terms and Conditions.
Where appropriate and legally permitted, we may
provide notice or an opportunity to correct the
issue.
Termination does not cancel obligations,
transaction records, disputes or liabilities that
arose before termination.
19. Service disclaimers
We aim to provide a secure and reliable service,
but the platform may occasionally be unavailable
because of maintenance, provider outages, internet
failures, blockchain congestion or circumstances
beyond our reasonable control.
To the extent permitted by law, the platform is
provided on an “as available” basis without a
guarantee that every feature will always be
uninterrupted or error-free.
We do not guarantee the quality, legality,
availability or suitability of every product
offered by an independent merchant.
20. Limitation of liability
Nothing in these terms excludes liability that
cannot legally be excluded.
To the maximum extent permitted by applicable law,
Vendnovo will not be responsible for
indirect, incidental, special or consequential
losses arising from:
- Merchant products or fulfilment failures.
- Incorrect information provided by a user.

Third-party gateways, banks, networks or
service-provider outages.
- Unauthorised use caused by compromised credentials.

Unsupported or incorrectly addressed
cryptocurrency transfers.
21. Responsibility for claims
To the extent permitted by law, a merchant is
responsible for claims, losses and reasonable costs
arising from the merchant’s products, content,
unlawful conduct, breach of these terms or violation
of another person’s rights.
This provision does not apply to the extent a claim
was caused directly by unlawful conduct or a breach
by Vendnovo.
22. Privacy
Our collection and handling of personal information
are described in the
Vendnovo Privacy Policy
.
Merchants must also handle store-customer
information lawfully and securely.
23. Changes to these terms
We may update these terms to reflect platform,
security, legal, regulatory or commercial changes.
Updated terms will be published on this page with a
revised effective date. Where appropriate, material
changes may also be communicated through the
platform or by email.
Continued use after updated terms take effect
constitutes acceptance where permitted by law.
24. Governing law and disputes
These terms are governed by the laws of the
Federal Republic of Nigeria, without removing any mandatory
consumer protection applicable to you.
Before starting formal proceedings, you should
contact us and provide reasonable details of the
dispute so both parties can attempt to resolve it
in good faith.
Any unresolved dispute will be handled by the
courts or dispute-resolution process having lawful
jurisdiction.
25. Contact and complaints
Questions about a merchant product or store order
should first be directed to the relevant merchant.
